DGN do SHP możesz spróbować z użyciem ogr2ogr
(http://trac.osgeo.org/gdal/wiki/DownloadingGdalBinaries)

ogr2ogr -f "ESRI Shapefile" output.shp input.dgn

Jaki XML? Polecam http://en.wikipedia.org/wiki/XML
