Hi dogboy,
    You can run a 'listen' server directly via Q2.  For a 'dedicated' sever, 
you need a config file and a command line.  Example:  (server.cfg)
//Quake2 server configuration file - DM game
set dmflags 280084
set hostname "[AGQ2] Xatrix Deathmatch"
set deathmatch 1
set logfile 3
set maxclients 6
set fraglimit 120
set capturelimit 8
set timelimit 30
set public 1
//set stdlogfile 1
set rcon_password "yourpassword"
set allow_download 0
setmaster q2master.planetquake.com
map xdm1

NOTE: // are comment lines.  Change the commands as you see fit.

Command line:
C:\Games\Quake2\quake2.exe +set game xatrix +set dedicated 1 +exec 
server.cfg
